Amsino believes in character and ethics in doing business. Ethical integrity is the guiding principle in our standard business practices and the starting point for everything we do.

Rules and policies do not make us honest, but they do provide us with guidelines to follow. We are all responsible for what we do. We make decisions based on our own values and judgments. It is only when we have ethical integrity as part of our corporate culture can we foster an environment where honesty flourishes naturally.

Ethics & Values
Amsino takes every question about ethics seriously. Employees, customers, and business partners should be able to assume that the companies they work for and do business with are always fair and honest in everything they do.

We have cherished a long-standing tradition of honesty and integrity by upholding these values. Ethics is the number one guiding principle that makes up the Amsino Core Values that define our culture and lead us to success.

Responsibilities
Employees, managers, suppliers, and business partners are all responsible for following the business practice standards and maintaining the ethical climate.

This document does not constitute as an employment contract between Amsino and its employees. Individuals are responsible for knowing and complying with the current laws, rules, regulations, standards, policies, and procedures that govern our work. If we fail to comply with applicable laws, rules, regulations, standards, policies, and procedures, we risk being disciplined or terminated. If we break the law, we are personally liable.

Individuals are also responsible for reporting wrongdoing. If a law or company policy has been broken, report it promptly to your immediate supervisor or the management.

Amsino managers are responsible for maintaining an ethical climate. They need to convey to their staff a clear message about compliance with the business practice standards, respond promptly when employee concerns arise, and make sure that procedures of handling the concerns are properly followed.

Employment Practices
Amsino's employment practices are based upon our commitment to treating all employees with dignity and respect.

Employees are expected to work according to job responsibilities and performance standards. Employees should come to work free from the influence of illegal drugs or alcohol and in condition to perform their duties. No employee can possess or use an illegal or controlled substance, or be under the influence of an illegal or controlled substance while on the job. Distribution, sale or purchase of an illegal or controlled substance on company property must be prohibited. To keep a drug-free workplace, Amsino may require employees to take drug tests if allowed by national and local laws.

Amsino hires employees in accordance with the Immigration and Control Act of 1986, and all individuals who have accepted employment with the company must present proof of identity and work eligibility. Amsino will not employ an individual who cannot provide satisfactory documentation.

Amsino does not tolerate workplace discrimination. It is committed to fair opportunity for all employees. It seeks to build up a culturally diverse workforce. Each employee is recognized as an important member of a worldwide team. Any discrimination should be reported to the management.

Amsino has developed guidelines to help maintain a secure workplace. All employees are responsible for their own safety as well as that of others in the workplace. Amsino does not permit intimidation or hostility. We will not tolerate any behavior that might harass, disrupt or interfere with another person's ability to work. Unacceptable behavior includes verbal, non-verbal, and physical attacks. Employees should report to the management if such harassment occurs.

Assets & Information Handling
Amsino provides us with a place to work and with the tools to do our jobs. In return, we are expected to respect and protect company assets, including:

Office supplies and equipment
Confidential information
Assets may be used only for company business, unless approved by management.

Amsino is committed to keeping full and accurate information. Use good judgment and common sense when preparing any company record. We must record and report facts accurately, honestly and objectively. This includes research, production, legal, financial, and other business-related information and records.

Financial records must be accurate in all material respects. All financial books and records must conform to generally accepted accounting principles and practices. Employees have the responsibility to maintain Amsino's system of internal controls.

All employees are responsible for safeguarding the confidential information obtained during employment. Confidential information is a valuable asset. It includes facts, data, and knowledge that have not been disclosed to the public. Employees have a responsibility to prevent revealing or divulging any such information unless it is necessary for them to do so in the performance of their duties. This information should be shared only with other employees who need it to do their jobs.

Confidential information must not be given to persons outside Amsino. Approval from the management is required, if employees need to share confidential information with others outside the company, or sign a confidentiality agreement with another organization.

The actual or possible disclosure of confidential information should be reported to the management, and the management will determine an appropriate course of action.

The Internet and Amsino's Intranet are powerful communication and information tools. Please make use of these and other electronic media including the electronic mail system to serve the business interests of Amsino.

Amsino has the ability and reserves the right to monitor all electronic communication.

Conflicts of Interest
Our work at Amsino is our first responsibility. We must avoid activities which are in conflict, or give the appearance of being in conflict, with the best interests of the company. Some situations that could cause a conflict of interest include:

Releasing confidential information to outsiders or misusing confidential information
Accepting or offering favors or payments, or excessive entertainment, which may be deemed to constitute undue influence or otherwise be improper or embarrassing to the company
Participating in civic or professional activities that would involve divulging confidential information
Serving as a director of another business or being a leader in some organizations
Having a financial interest in another company in the industry
Taking a second job or managing your own business which directly or indirectly competes with the business or the interests of the company
Engaging in any conduct which is not the best interest of the company

Many business units and country organizations have written policies on gifts and entertainment. Always consult policies in both the giver's and the receiver's home country to understand the local laws and requirements. If you have questions, ask your supervisor or the management.

In some countries, it is customary and lawful for executives of companies doing business with each other to give or exchange gifts, some of which can be of great value. Amsino follows these customs when appropriate, but only according to local laws and business unit procedures. These gifts become Amsino property and must be properly documented and displayed.

We must disclose actual or potential conflicts of interest and discuss them with management. Any activity that is approved, despite the actual or apparent conflict, must be documented.

Any outside activity must be totally separate from company work. This includes a second job or self-employment. We should not use company time or other employees' services for outside activities unless management specifically authorizes it in writing.

Our investments can cause a conflict of interest. We should not own, directly or indirectly, a significant financial interest in any company that does business with Amsino. An investment in a competitor, or in companies that seek to do business with Amsino, also can be a conflict.

Serving as a director of another corporation may create a conflict of interest. Being a director or on a standing committee of some organizations, including government agencies, also may create a conflict. A conflict of interest may exist if the board service in the industry is an assigned part of your job, or if the board service is unrelated to your job. Consult the management if you are not certain whether or not your involvement with another organization constitutes conflicts of interests.

Contracting with Third Parties
Amsino conducts business with outside people and organizations, which include representatives, distributors, consultants, suppliers, independent contractors, etc.

We must take special care to ensure these representatives of Amsino are reputable, qualified and do not create conflicts of interest. The business practice standards and behaviors of these third parties should be taken into account during selection. Because representatives can make binding commitments for Amsino, any agreements with them must be in writing, and the representatives must observe the same business practices standards as Amsino employees.

Independent contractors have their own business standards. Although Amsino cannot control their behavior, we will not tolerate their illegal actions. Amsino will not impose its standards on independent contractors beyond those in their written contract or agreement; however, they should be aware that Amsino employees are accountable for doing business according to the business practice standards.

Amsino's partnership with qualified suppliers requires us to clearly define requirements, exchange information, and share mutual benefits. Suppliers must be evaluated and approved before any materials, components, products, or services are purchased from them. Suppliers should also be aware that Amsino employees are accountable for doing business according to the business practice standards.

Sales & Marketing
It is the belief of Amsino that all businesses should have the opportunity of free and fair competition, and this principle applies to our operations worldwide.

Antitrust and fair competition laws are technical and vary by country. We must avoid situations that violate the principles of fair competition, as well as situations that violate the law.

We must not release confidential information to a third party about Amsino and our competitors, whether it is in regard to products, prices, costs, and other issues.

Amsino employees involved in sales to government organizations must be aware of the special rules, laws, and regulations that apply to these markets. Follow these guidelines when doing business with any government organization: Do not offer or accept kickbacks, bribes, gifts over $100 in value, or other favors.
Do not solicit or obtain proprietary or source-selection information prior to the contract or bid award. Comply with all laws and government regulations.
Consult the management if you have questions about selling to government organizations, institutions funded by a government agency, and individuals that work for a government organization.

Quality and Regulatory Compliance

Amsino's reputation is built on the quality of our products and services. Quality within Amsino is important from many perspectives. Our products help improve the safety and efficacy of patient care. This service makes what we do at Amsino unique from many other companies and industries.

Quality is not just a manufacturing plant responsibility. The quality of our products and services starts with understanding the requirements of our customers, defining those requirements, and designing products and services to meet or exceed those requirements.

Our "Quality Policy" states:
Amsino is committed to customer satisfaction and patient well-being.
All products and services provided to our customers shall be safe and effective for their intended use.
Each product & service shall be designed, manufactured, marketed, and delivered in compliance with all applicable laws,
   regulations, and standards.
Product quality will be accomplished through the consistent implementation and maintenance of an effective quality management
   system.

Every employee is responsible for the active promotion and the realization of Amsino's quality policy within their job functions. Amsino has a quality manual that outlines and states the general policies governing Amsino's system of quality assurance. These policies cover sections in accordance with the framework established by ISO 13485. These are the top level policies representing the company's desired objectives or protocol for achieving quality assurance. All departmental or functional policies and procedures written must conform and parallel these policies. All changes to policies and procedures are required to be reviewed to ensure that these are no conflicts with these policies stated in the quality manual.

The quality assurance system is an integrated effort that encompasses management policies, quality objectives, organization and documentation. It is not simply a system of inspection and testing, but rather a whole company-wide program that includes such areas as product development, design evaluation, component and/or vendor selection, documentation, testing and inspection procedures and equipment, production or process development, reviews and validation, service and employee training.

When our products are delivered to our customers, our quality and service standards ensure that our customers receive the right products at the right time. When we bill our customers, the invoices should accurately reflect what the customer ordered and what was shipped. If our customers have questions or problems, we must be responsive and solve those problems as rapidly as possible.
It is the policy of Amsino to adhere to a management philosophy and operational methods which recognize customer satisfaction as a primary goal. Our commitment to customer satisfaction will be accompanied through continuous improvement and leadership which promotes employee involvement.
